Securities and Exchange Commission (SEC) Amends Requirements to MD&A

The Securities and Exchange Commission (SEC) recently adopted new amendments as part of an ongoing effort to “modernize and enhance” regulations related to financial disclosures as well as management’s discussion and analysis (MD&A). This announcement was made in November 2020, and certain elements are now beginning to go into effect.

Key components of these updates include modifications pertinent to Regulation S-K. Alterations are being implemented to remove some previously required redundant elements.

Experts from CFGI’s Capital Markets Advisory team noted that these amendments will soon be effective for companies preparing to go public, while other businesses will have to integrate the new requirements into their next annual reporting period moving forward.
